Preparing for a Reg. A Offering

  • The JOBS Act has created many new channels for companies exploring entrance into the public markets. Of  particular interest is Regulation A which with its increase on amount of money raised could become a major new financing tool for smaller companies to enter the public markets via a more friendly on-ramp.

Experts maintain that sustained growth in the industry is directly tied to a healthy and ever-expanding number of life sciences companies entering public markets. Further, it presents an intriguing strategy for earlier-stage companies that may be mired in purgatory – the fund gap between angel/venture stage and follow up rounds. Still, there remain significant operational and logistical challenges companies must reconcile before completing Reg A. This workshop will advise on how to navigate these issues, specifically exploring:

    • What are the financial costs associated with completing an offering, and in the following quarters?
    • What is the best strategy for shareholder communication?
    • How long does the process take? Who must a company rely on to complete the filing?
    • What are the non-financial costs associated with listing and maintaining compliance?
    • How can companies guarantee liquidity for early and later round investors?
    • How can companies maintain a float, market cap, and share price?
