Using the Internet to Complete a Reg D Offering

  • In an era of increased financial regulation such as Dodd-Frank, Congress quickly passed The JOBS Act in April of this year in response to a need to increase the flow of capital to job creating entrepreneurs. Some argue that the most important and far reaching component of the JOBS Act was the removal of the ban on General Solicitation – opening the door for companies to use mass communication channels to reach a larger pool of investors. While certainly a positive development, this mandate carries with it fundamental questions as well as operational issues, including:

    • What platforms and exchanges will facilitate this method? Will the most successful strategies be new digitally savvy programs or experienced broker/dealers venturing into the internet?
    • What are the advantages and disadvantages in using more investors to complete an offering?
